Terms & Conditions

The terms that govern any project or service engagement with Infovirtech.

These Terms & Conditions ("Terms") govern your access to and use of the website, and any services provided by Infovirtech Private Limited ("Infovirtech," "we," "us," or "our"). By engaging our services, submitting a project enquiry, or using this website, you agree to be bound by these Terms. If you do not agree, please do not use our services.

01Acceptance of Terms

By requesting a quote, signing a proposal or statement of work, making a payment, or otherwise engaging Infovirtech for services, you confirm that you have read, understood and agree to these Terms, along with our Privacy Policy. These Terms apply alongside any separately signed contract or statement of work ("SOW") for a specific project; where a signed SOW conflicts with these Terms, the SOW governs for that project.

02Description of Services

Infovirtech provides IT consulting and digital product services, which may include:

  • Logo and brand identity design
  • Website design and development
  • Mobile application development (iOS and Android)
  • Digital marketing, including SEO, social and paid advertising strategy

The specific scope, deliverables, timeline and fees for a given engagement are defined in a proposal, quote or SOW agreed with the client before work begins.

03Client Responsibilities

To deliver work on schedule, we rely on the client to:

  • Provide content, assets, credentials and feedback within the timeframes agreed for the project.
  • Designate a single point of contact authorized to approve deliverables and sign off on milestones.
  • Ensure that any content, trademarks or materials supplied to us do not infringe the rights of any third party.

Delays in providing the above may result in corresponding delays to the project timeline, for which Infovirtech is not responsible.

04Project Process, Timelines & Revisions

Projects typically move through discovery, design, build and launch/handover phases, with client review checkpoints at each stage. Estimated timelines are provided in good faith based on the agreed scope; they may shift if the scope changes or client feedback is delayed.

Each project includes a defined number of revision rounds per deliverable, as specified in the proposal or SOW. Requests beyond that number, or requests that materially change the original scope, may be treated as a change order and billed separately.

05Fees, Payment Terms & Late Payment

Fees for a project are set out in the proposal or SOW and are typically payable in milestone-based installments (e.g., an upfront deposit, followed by payments tied to project phases). Unless otherwise agreed in writing:

  • Invoices are due within the period stated on the invoice.
  • Work may be paused if a payment is overdue.
  • Fees paid are non-refundable once the corresponding phase of work has been delivered, except where required by law.

06Intellectual Property & Ownership

Upon full and final payment for a project, ownership of the final, agreed-upon deliverables (e.g., final logo files, website source code, app source code created specifically for the client) transfers to the client, except as noted below.

  • Pre-existing and reusable assets: frameworks, internal tools, boilerplate code, and design components that Infovirtech developed prior to or independently of the project remain the property of Infovirtech and are licensed to the client for use within the delivered product.
  • Third-party assets: stock photography, fonts, plugins, libraries or platforms used in the project remain subject to their own respective licenses.
  • Portfolio use: unless the client requests otherwise in writing, Infovirtech may display completed work in its portfolio, case studies and marketing materials.

Until full payment is received, all work product remains the property of Infovirtech.

07Third-Party Services & Platforms

Delivering a project may require using third-party services such as hosting providers, domain registrars, payment gateways, or the Meta / WhatsApp Business Platform for client communication. Use of these platforms is subject to each provider's own terms of service — for WhatsApp specifically, see the Meta & WhatsApp section of our Privacy Policy. Infovirtech is not responsible for outages, policy changes or service interruptions caused by third-party providers.

08Confidentiality

Both parties agree to keep confidential any non-public business, technical or financial information shared during the course of a project, and to use it only for the purpose of delivering the engagement. This obligation survives the completion or termination of the project.

09Warranties & Disclaimers

Infovirtech will perform services with reasonable skill and care consistent with industry standards. Except as expressly stated in a signed SOW, services are provided "as is" without warranties of any kind, including any implied warranty of merchantability or fitness for a particular purpose. We do not guarantee specific business outcomes (e.g., search rankings, conversion rates, app store approval timelines), as these depend on factors outside our control.

10Limitation of Liability

To the maximum extent permitted by law, Infovirtech's total liability arising out of or relating to a project shall not exceed the total fees paid by the client for that project. Infovirtech shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data or business opportunity, arising from the use of our services or deliverables.

11Termination

Either party may terminate an ongoing project with written notice, as specified in the applicable SOW. Upon termination, the client is responsible for payment of all fees for work completed up to the termination date. Infovirtech will deliver any completed work product corresponding to fees already paid.

12Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or a project engagement shall be subject to the exclusive jurisdiction of the courts having jurisdiction over Chandauli, Uttar Pradesh, India.

13Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date at the top of this page. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
