The terms for using our website, services and messaging platform.
Please read these terms carefully. They explain what you can expect from Infovirtech, what we expect from you, and how WhatsApp, SMS and email messaging works through our platform. They should be read together with our Privacy Policy and Data Deletion page.
These Terms of Service ("Terms") form an agreement between you and Infovirtech Private Limited ("Infovirtech," "we," "us," or "our") for the use of our website, our services and our messaging platform (together, the "Services"). By creating an account, connecting a channel, or otherwise using the Services, you accept these Terms. If you use the Services for a business, you confirm you're authorised to accept these Terms on its behalf, and "you" means that business.
The Services are for businesses and for individuals aged 18 or over.
We provide:
We may improve, change or retire features over time. Where a change materially reduces what you've paid for, we'll tell you in advance.
You're responsible for the messages you send and the people you send them to. You agree to:
You must not use the Services to send spam, unlawful, misleading, fraudulent, harassing or infringing content, to impersonate anyone, to distribute malware, or to interfere with or try to gain unauthorised access to the Services.
WhatsApp messaging runs on the WhatsApp Business Platform provided by Meta Platforms, Inc. ("Meta"). When you connect WhatsApp through Facebook Login, your WhatsApp Business Account and phone numbers remain yours, and your use of them is also governed by Meta's own terms and policies.
Meta's decisions: Meta approves message templates, sets quality ratings and messaging limits, and may restrict or disable numbers or accounts. We don't control these decisions and aren't responsible for them, though we'll help you understand and respond to them.
Meta's charges: Meta may charge for WhatsApp conversations. Where those charges are billed through us, they're shown in the platform's rate card.
Messages are delivered through Meta, telecom operators, SMS aggregators and email providers. We send messages promptly but can't guarantee delivery, delivery times or read receipts, which depend on those networks, on recipients' devices and settings, and on carrier and spam filtering.
Your content, contacts and conversations belong to you. We process your customers' personal data on your behalf and according to your instructions, to provide the Services. You're responsible for having a lawful basis and any consent needed to collect that data and to message those people.
How we handle personal data is described in our Privacy Policy. How to have data deleted is described on our Data Deletion page.
You can stop using the Services and close your account at any time.
We may suspend or end your access, where reasonable after notice, if you breach these Terms, fail to pay, or use the Services in a way that risks harm to recipients, to other customers, or to our standing with Meta, telecom operators or other providers. We may act without notice where needed to stop serious harm or to comply with the law.
When an account is closed, we delete its data as described on our Data Deletion page, except for records we're required to keep.
We own the Services, including the software, design and content we provide. These Terms give you a limited, non-exclusive, non-transferable right to use the Services for your business while your account is active. You keep ownership of your own content, logos and data, and give us permission to use them only as needed to provide the Services. Ownership of deliverables from development work is set out in the agreement for that work.
The Services rely on third parties, including Meta, telecom operators, SMS aggregators, email providers and our payment partner. Their services are governed by their own terms, and we aren't responsible for their availability or actions.
We work to keep the Services reliable and secure, but they're provided "as is" and "as available." To the extent the law allows, we don't promise they'll be uninterrupted or error-free, or that they'll meet every specific requirement you have.
To the extent the law allows, we aren't liable for indirect or consequential losses, including lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Services is limited to the fees you paid us in the three months before the event that gave rise to the claim. Nothing in these Terms limits liability that can't be limited under law.
You agree to compensate us for claims, penalties and costs arising from your content, the messages you send, your breach of these Terms, or your breach of the law or of Meta's or telecom operators' policies.
We may update these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date at the top of this page, and we'll notify account holders by email or in the platform before they take effect. Continuing to use the Services after that means you accept the updated Terms.
These Terms are governed by the laws of India. We'll try to resolve any dispute informally first; please contact us. If that fails, the courts at Chandauli, Uttar Pradesh have exclusive jurisdiction.
